This Guarantee, dated [__], is provided by [the Parent company name], a company incorporated under the laws of [where incorporated] and its registration number is [registration number], having its registered office at [address] (the “Guarantor”) in favor of [details of XXXX’s subsidiary] (“XXXX”).
Whereas [details of the Guarantor’s subsidiary – the customer who engaged with XXXX] is a subsidiary of the Guarantor (the "Contractor"); and
Whereas XXXX and the Contractor may, from time to time, enter into agreements regarding the sale and delivery of goods and/or services by XXXX to the Contractor (the "Agreements"); and
Whereas The Guarantor agreed to guarantee the Contractor's obligations under the Agreements, including any amendments thereto from time to time, subject to the terms and conditions below; and
NOW, THEREFORE the Guarantor hereby agrees as follows:
1. The Guarantee
1.1 The Guarantor hereby irrevocably, unconditionally and upon first demand guarantees to XXXX the full and timely performance by Contractor of all its obligations under the Agreements (including any amendments thereto from time to time), including the due and punctual payment of any amount due and payable by the Contractor to XXXX under the Agreements.
1.2 The Guarantor hereby undertakes to hold XXXX harmless of any costs, expenses and/or losses incurred in connection with the claims guaranteed hereunder.
1.3 This guarantee shall endure indefinitely and shall remain in force as long as there are any obligations of any kind of the Contractor toward XXXX arising from the Agreements, including any amendments thereto from time to time, or from any applicable law.
2. Representations and Warranties
2.1 As of the date hereof and as long as any sum is or may become payable by the Contractor under the Agreements, the Guarantor hereby represents and warrants to XXXX that:
(a) It has full power, authority and legal right to own its assets and to enter into and perform its obligations under this Guarantee;
(b) The execution, delivery and performance of this Guarantee (i) require no governmental or regulatory action, authorization or approval, (ii) do not and will not violate or conflict with the provisions of any law, regulation or order relating to the Guarantor and (iii) do not and will not result in a breach of or constitute a default under any agreement or obligation applicable to the Guarantor;
(c) Its obligations under this Guarantee constitute its legal, valid and binding obligations, enforceable against it in accordance with their terms (subject to bankruptcy, insolvency and similar laws of general application relating to or affecting the rights of creditors);
(d) No material litigation, arbitration or administrative proceeding before any court, arbitrator or governmental or other authority are currently pending or threatened against it or any of its assets (i) which may prevent or prohibit my execution or performance of this Guarantee or (ii) which might have a materially adverse effect on its property or financial condition or (iii) which might have a material adverse effect on its ability to duly perform and observe its obligations under this Guarantee.
3. Miscellaneous
3.1 The Guarantor shall not assign its rights and obligations under this Guarantee, in any manner, without the prior written consent of XXXX.
3.2 Any notice, demand or other document to be given by one party to another (collectively called “Notice”) shall be in writing and delivered personally or mailed by first class registered delivery post or by commercial courier as follows:

1. Kefalet
1.1 Kefil, Sözleşmeler tahtında Yüklenici tarafından XXXX’a ödenecek olan muaccel tutarların usule uygun ve zamanında ödenmesi dahil olmak üzere, Yüklenici tarafından Sözleşmeler (muhtelif zamanlarda tadil edilecek şekilleri dahil olmak üzere) tahtındaki tüm yükümlülüklerin eksiksiz ve zamanında yerine getirilmesi hususunu gayrikabili rücu ve koşulsuz olarak ve ilk talep üzerine XXXX’a işbu vesileyle taahhüt etmektedir.
1.2 Kefil, bu belge tahtında güvencesi sağlanmış talepler ile ilgili olarak tahakkuk edecek maliyetlerden, giderlerden ve/veya zararlardan XXXX’un zarar görmemesi hususunu işbu vesileyle taahhüt etmektedir.
1.3 İşbu kefalet süresiz olarak verilmekte olup, Yüklenicinin XXXX’a karşı Sözleşmelerden veya Sözleşmelerin muhtelif zamanlarda tadil edilmiş hallerinden veya halihazırda yürürlükte bulunan yasalardan doğan yükümlülükleri mevcut olduğu sürece yürürlükte kalacaktır.
2. BEYAN VE TEKEFFÜLLER
2.1 Burada belirtilmiş olan tarih itibariyle ve herhangi bir tutar Sözleşmeler tahtında Yüklenici tarafından ödenmek üzere muaccel olduğu veya olabileceği sürece, Kefil işbu vesileyle aşağıda belirtilmiş olan hususları XXXX’a beyan ve taahhüt etmektedir:
(a) Mevcut varlıklarına sahip olma ve bu Kefalet tahtında yükümlülüğe girme ve bunları ifa etme hususunda tam yetki ve salahiyet sahibi olup, bu konuda tüm yasal hakları taşımaktadır;
(b) Bu Kefaletin akdedilmesi, tevdii ve ifası (i) herhangi bir resmi veya düzenleyici eylem, izin veya onay gerektirmemektedir, (ii) Kefil ile ilgili olarak herhangi bir yasa, yönetmelik veya talimatı ihlal etmemektedir veya söz konusu yasa, yönetmelik veya talimat hükümlerine aykırı değildir ve (iii) Kefile uygulanabilir olan herhangi bir sözleşme veya yükümlülük tahtında bir ihlal ile sonuçlanmayacaktır veya temerrüt teşkil etmemektedir;
(c) Bu Kefalet tahtındaki yükümlülükleri yasal, geçerli ve bağlayıcı yükümlülükler olup, kendi şartları kapsamında kendisine karşı yürütülebilir durumdadır (alacaklı hakları ile ilgili veyahut alacaklı haklarını etkileyen iflas, ödeme aczi ve genel olarak uygulanabilir benzeri yasalara tabi olarak)
(d) Herhangi bir mahkeme, hakem veya resmi kurum ile diğer bir makam nezdinde hali hazırda derdest vaziyette olan veya kendisine veya varlıklarına karşı tehdit teşkil eden ve (i) işbu Kefaletin akdedilmesini veya ifa edilmesini engelleyecek veya yasaklayacak veya (ii) varlıkları veya mali durumu üzerinde esasa ilişkin olumsuz etkisi olabilecek veya (iii) işbu Kefalet tahtındaki yükümlülüklerini usule uygun olarak ifa etme ve gözetme kabiliyeti üzerinde esasa ilişkin olumsuz etkisi olabilecek hiç bir maddi hukuk davası, tahkim davası veya idari yargılama mevcut değildir.
3. Çeşitli Hükümler
3.1 Kefil, XXXX’un ön yazılı onayı olmaksızın bu sözleşme tahtındaki hak ve yükümlülüklerini hiç bir şekilde devir veya temlik etmeyecektir.
3.2 Bir tarafça diğerine tebliğ edilecek olan herhangi bir bildirim, talep veya diğer türde bir belge (bir arada «Bildirim» olarak anılacaktır) yazılı halde olup, elden teslim edilecek veya birinci sınıf iadeli taahhütlü posta ile veya ticari kurye vasıtasıyla aşağıdaki şekilde iletilecektir:

Elden teslim ile iletilen bildirimler teslim alınma üzerine geçerli olacaktır. Taraflardan herhangi birisi Bildirimin iletilecek olduğu adresi veya yukarıda belirtilmiş olan detayları, bahis konusu adres değişikliğine ilişkin Bildirim göndermek suretiyle değiştirebilir.
3.3 İşbu Kefaletin oluşturulması, geçerliği veya ifası ile ilgili hususlar İsrail yasalarınca yönetilecektir.
3.4 İşbu Kefaletten doğan veya bu Kefalet ile ilgili olarak ortaya çıkan herhangi bir ihtilaf Tel Aviv mahkemeleri nezdinde çözüme ulaştırılacak olup, bahsi geçen mahkemeler kanunlar ihtilafı kurallarına atıfta bulunmaksızın münhasır yargı yetkisini haiz olacaktır.
3.5 İşbu kefaletin feshedilmesi, karşılıklı mutabakat ile sonlandırılması veya üzerinde tadil veya değişiklik veya üzerine ilaveler yapılması yazılı halde gerçekleştirilmeli ve Kefil ile XXXX adına ve namına imzalanmalıdır.
YUKARIDAKİ HUSUSLAR MUVACEHESİNDE, Kefil işbu Kefaleti yukarıda belirtilmiş olan gün ve yılda imzalamış bulunmaktadır.

Source text - Turkish 7. AKREDİTİFLERE İLİŞKİN HÜKÜMLER
7.1 Kredi tahtında akreditif düzenlenmesi suretiyle gayri nakdi Kredi, her bir Kredi Veren veya muhabiri nezdinde Kredi Alanın akreditif açtırması suretiyle kullanılacaktır.
7.2 Bu kredinin kullandırılması, ilgili akreditif metninin her bir Kredi Verence uygun bulunması şartına ve Madde 8.4’e (Akreditif Komisyonu) göre ödenecek olan ilk gayri nakdi kredi komisyon tutarının ve ayrıca masrafların Kredi Verenlere ödenmesine bağlı olacaktır.
7.3 Kredi Alan akreditif konusu vesaik tutarının kendisi veya ilgili muhabir(ler) tarafından akreditif lehdarına ödenerek, Kredi Verenler hesabına zimmet kaydedildiği tarih itibariyle borcunun derhal Kredi tahtında nakdi Krediye döneceğini ve Madde 9 (Anapara Geri Ödemeleri) hükmü saklı kalmak kaydıyla) Kredi kapsamında ilgili tutar kadar nakdi Kredi kullanmış sayılacağını kabul eder.
7.4 Kredi Verenlerin Kredi Alan lehine açmayı kabul ettikleri (vadeli akreditifler dahil) gayrikabili rücu ve/veya teyitli akreditifler nedeni ile ödeyecekleri tüm meblağlar nedeniyle, işbu Sözleşme hükümleri çerçevesinde sorumlu olacağını Kredi Alan kabul ve taahhüt eder.
7.5 Belgelerin, akreditif vesaiklerini takip edecek olan ilgili Kredi Verene gelmesi üzerine, Kredi Verenlerin ilk davetinde, mallar gelmiş olsun veya olmasın bu belgeli krediden doğan bütün borçları Kredi Verenlerin ödemesi üzerine ilgili tutar kadar nakdi Krediye dönerek, belgeleri Kredi Temsilcisinin gişesinden/gişelerinden teslim almayı taahhüt eder. Vadeli akreditiflerde ise ithalat konusu mal bedelinin, bununla ilgili komisyon ve diğer masrafların, akreditif metninde belirtilen ödeme vadesi tarihinde Kredi Verenlerin ödemesi üzerine ilgili tutar kadar nakdi Kredi kullanmış olacağını, herhangi bir nedenle nihai işlem anında kur farkı doğduğunda bu farka tekabül eden Türk Liralarını da akreditifi açan Kredi Verenlerin hesaplarına yatıracağını Kredi Alan beyan ve taahhüt eder.
7.6 Kredi Alan, bu kredi dolayısıyla Türk Parası Kıymetini Koruma Kanunu, bu Kanuna ilişkin karar, tebliğ, yönetmelik ve genelgelere ve bunların yerini alacak mevzuata uymayı ve ortaya çıkabilecek her türlü kur farkları ile arbitraj zararlarını peşinen ödemeyi kabul ve taahhüt eder.
7.7 Kredi Verenler bu kredinin tamamını veya bir bölümünü Kredi Alana vadeli akreditifler dahil, gayri nakdi akreditif kredisi olarak kullandırdıkları takdirde, isteyeceği her akreditif için Kredi Alan Kredi Verenlere bir akreditif açma teklif mektubu verir. Kredi Verenler teklifi veya akreditif şartlarındaki her türlü değişiklik isteklerini Kredi Alan ve Kredi Verenler arasında mutabık kalınmak suretiyle kabul edip etmemekte serbesttirler.
7.8 Bu krediye dayanılarak açılacak akreditiflerin bedelleri, Kredi Alanın her akreditif için Kredi Verenlere vereceği akreditif açma teklif mektubunda gösterilen belgelerin akreditif vesaiklerini ilgili Kredi Verene veya ilgili muhabir(ler)e verilmesi karşılığında lehdarına ödenecektir.
7.9 Açılacak akreditiflerle ilgili olarak ithal edilecek emtiayı temsil edecek konişmento, hamule senedi, nakliyeci makbuzu ve sair belgeler, ilgili Kredi Veren adına tanzim edilecektir.
7.10 Kredi Alan akreditifin her safhasında T.C. Merkez Bankasının uygulayacakları şartları ve yabancı döviz kurlarını itirazsız kabul edecektir. Farklar, resmi makamlar veya Kredi Verenlerin vereceği süre içinde Kredi Alan tarafından karşılanacaktır. Kredi Verenler, akreditif veya transfer emri konusu dövizleri kendi kaynağından karşılayabileceği gibi diğer banka veya müesseselerden de satın alabilecektir. Kredi Alanın Kredi Verenlere verdiği talimat tarihi ile dövizlerin fiilen satış veya yurt dışına transfer tarihi arasında geçecek süre için hiçbir itiraz hakkı bulunmayacak ve bu sürenin uzamasından Kredi Verenler (Kredi Verenlerin ağır ihmal ve kasıt halleri hariç olmak üzere) hiçbir şekilde sorumlu tutulamayacaklardır. Fiilen satış veya yurt dışına transfer tarihine kadar geçecek süredeki kur farkı ile iki yabancı paranın değiştirilmesinden doğacak zarar Kredi Alana ait olacak ve kurlar arasındaki farka ve söz konusu zarara tekabül eden Türk Liraları, Kredi Alanın hesabına Kredi kapsamında yapılmış bir Kullandırım olarak borç kaydedilecektir. Merkez Bankası muhabiri hesaplarının borçlandırıldığı hallerde, T.C. Merkez Bankası döviz satış kurundan, borçlandırma tarihi valörü ile ithal vesaiki mukabili kredi hesabına borç kaydedilmesini kabul eder. Translation - English 7. PROVISIONS REGARDING LETTER OF CREDIT
7.1 The non-cash loan may be utilized by means of issuing a letter of credit by each of the Lenders or through advising banks of the Lenders.
7.2 The utilization of this loan shall be dependent on the relevant letter of credit text to be deemed appropriate by each of the Lenders and the first non-cash loan commission amount to be paid as per Article 8.4 (Letter of Credit Commission).
7.3 The Borrower accepts that the amount of the documentary which is the subject matter of the letter of credit shall be paid to the letter of credit beneficiary by the relevant advising banks and that as of the date such amount is debited to the account of the Lenders, the debt shall be transferred to a cash loan and that it will be deemed to utilize a cash loan pursuant to Article 9 (Principal Amount Repayment)
7.4 The Borrower accepts and undertakes that the Lenders shall be responsible for all the amounts they shall pay due to the irrevocable/confirmed letter of credits (including term LC's) pursuant to the terms and conditions of this Agreement.
7.5 When the documents are delivered to the relevant Lender which shall follow up the letter of credit documentaries, upon the first request of the Lenders, even if the goods have arrived or not, upon the payment of the debts arising out of this documentary credit by the Lenders, the relevant amount shall be transferred to a cash Loan and the Borrower undertakes to receive the documents from the desk of the Facility Agent. As for the term letters of credit, the Borrower declares and undertakes that upon the payment of the value of the imported goods along with the commission and other expenses on the maturity date stated in the letter of credit text such amount shall be transferred to a cash Loan, and in the case an exchange difference amount arises at the stage of the final transactions, that it shall deposit the corresponding Turkish Lira amounts to the accounts of the Lenders that issued the letter of credit .
7.6 The Borrower, due to this loan, accepts and undertakes in advance to pay the arbitrage losses and all kinds of exchange rate differences that might arise and to abide by the Law on the Protection of the Value of Turkish Lira and the relevant judgments, notices, regulations and memorandums and any substituting legislation.
7.7 In the case the Lenders make available all or part of this Loan, including the term letters of credit as a non-cash loan, the Borrower shall deliver a letter of credit issuing proposal letter to the Lenders. The Lenders inform the Borrower of any amendment they wish on the letter of credit terms and they are free to accept the letter of credit proposal by means of an agreement or not.
7.8 The values of the letters of credit to be issued based on this Loan shall be paid to the beneficiary in return for the delivery of the letter of credit documents stated on the proposal letter to the relevant Lender or to the relevant advising banks.
7.9 The bill of lading, transportation receipt and other relevant documents shall be arranged in the name of the relevant Lender.
7.10 The borrower, at all stages of the letter of credit shall accept the foreign exchange rates of the Turkish Republic Central Bank and its applications without any objections. The differences shall be covered by the governmental authorities or the Borrower within the period granted by the Lenders. The Lenders may cover the foreign currencies subject to the transfer order or the letter of credit out of their own resources or may purchase the same from other banks and institutions. For the period which shall lapse between the instruction date of the Borrower to the Lenders and the actual sales or transfer of the foreign currencies to abroad, the Borrower shall have no right of objection and the Lenders hall not be kept responsible for the delay or extension of this period (excluding their gross negligence). The exchange difference in the period that lapses between the actual sales or the transfer to abroad and the loss arising out of the conversion of two different currencies shall be assumed by the Borrower and the Turkish Lira amounts corresponding to the loss and the exchange difference shall be debited to the Borrower's account as a Utilization in scope of the Loan. The Borrower accepts that the value of the import documentary credit shall be debited in terms of Turkish Lira corresponding to the value of the foreign currency with which the advising banks of the Lenders have been debited to its loan account with an exchange sales rate of the Turkish Republic Central Bank on the debit value date in a manner the Turkish Republic Central Bank advising bank accounts a debited over the sales exchange rate defined under the Banking, Insurance and Hedging Services Agreement by the Lenders, as the result of the submission of the documents representing the goods by the letter of credit beneficiary for the letters of credit issued pursuant to the non-cash loan. In the case the Lenders are required to realize the exchange sales out of a period set forth in the legislation for any reason (excluding their gross negligence), the Borrower declares that the exchange rate on the date of the exchange sales took place shall be applicable.
