Doelomschrijving
Artikel 2

Duur en opzegging
Artikel 3
1. De maatschap wordt aangegaan voor onbepaalde tijd.
2. Ieder der vennoten heeft te allen tijde het recht de maatschap op te zeggen, met inachtneming van een opzegtermijn van twee maanden, en slechts tegen het einde van het boekjaar.

Inbreng; vermogen van de maatschap
Artikel 4
1. De vennoten brengen in de vennootschap in hun kennis, arbeid en vlijt. Zij verplichten zich naar hun beste vermogen het beroep van ... uit te oefenen.
2. Met onderling goedvinden kunnen de vennoten ieder meer geld en/of goederen in de maatschap inbrengen.

Interne werkverdeling
Artikel 5
1. Aan het begin van elk boekjaar wordt tijdens de algemene vergadering vastgesteld welke vennoot/vennoten bepaalde specifieke taken toegewezen krijgt/krijgen inzake het dagelijkse beheer van de maatschap. Voor het jaar ... zijn dit de vennoten ...
2. Tussen geen van hen is er sprake van een gezagsverhouding. Zij verbinden zich jegens elkander om generlei handelingen te verrichten waartegen één zich uitdrukkelijk heeft verzet.
Rechten en plichten van de vennoten
Artikel 6
1. Ieder van de vennoten is belast met het beheer van de maatschap. Dit behelst onder meer het voeren van de administratie en het werven van cliënten, voorts al hetgeen hiermee samenhangt, zoals de verzorging van de publiciteit en het voeren van een advertentiecampagne.
2. De vennoten zijn tevens bevoegd de maatschap aan derden te binden en derden aan de
maatschap te binden, voor haar te handelen en te tekenen en gelden voor haar te ontvangen en uit te geven, echter met dien verstande dat de medewerking van de andere vennoten steeds vereist is voor:
a. het huren, verhuren, vervreemden of bezwaren van onroerende zaken;
b. het verlenen van procuratie alsmede het toekennen van een titel aan een procuratiehouder;
c. het aanstellen en ontslaan van personeel en de vaststelling hunner salarissen en arbeidsvoorwaarden;
d. het stellen van persoonlijke en zakelijke zekerheid;
e. het voeren van gedingen (zowel eisend als verwerend) en het aangaan van alle
rechtshandelingen, andere dan hiervoor genoemd, waarvan het belang of de waarde een bedrag van € ... te boven gaat, waaronder niet begrepen het opnemen van beschikbare gelden bij de bankier der maatschap;
f. alle rechtshandelingen die niet met het doel der maatschap in verband staan.
Verbod nevenwerkzaamheden
Artikel 7
1. Het is ieder der vennoten tijdens de duur der maatschap verboden direct of indirect voor eigen rekening of voor rekening van anderen of voor gezamenlijke rekening met anderen buiten de maatschap om het beroep van ... uit te oefenen.
2. De vennoot die deze bepaling overtreedt, verbeurt een boete van € 25.000 ten behoeve van de overige vennoten voor elke overtreding, onverminderd alle andere rechten van de overige vennoten ingevolge de onderhavige overeenkomst en ingevolge de wet.
Verbod uitbreiding aansprakelijkheid
Artikel 8
Het is ieder der vennoten zonder schriftelijke toestemming van de andere vennoten verboden zich als borg of hoofdelijk medeschuldenaar voor anderen te verbinden ofwel zich op enigerlei wijze voor anderen sterk te maken, ook in aangelegenheden die geen betrekking hebben op zaken der maatschap.
Verbod overdracht maatschapaandeel
Artikel 9
Het is ieder der vennoten verboden zijn aandeel of rechten in de maatschap aan derden over te doen, of te zijnen eigen behoeve te beschikken over goederen of gelden, de maatschap
toebehorende.
Boekjaar
Artikel 10
1. Het boekjaar van de vennootschap loopt van ... tot en met ... Het eerste boekjaar loopt
vanaf de aanvang der maatschap (...) tot...
2. Na afloop van elk boekjaar, alsmede bij het beëindigen van de maatschap, worden de boeken der maatschap afgesloten en worden uiterlijk binnen zes maanden daarna een balans en een winst- en verliesrekening opgemaakt.
3. De balans en winst- en verliesrekening worden door alle vennoten ten blijke van hun
goedkeuring ondertekend.
4. Indien de vennoten geen overeenstemming over de opstelling van de jaarstukken kunnen bereiken, worden deze voor hen bindend vastgesteld door arbiters.
Winstverdeling
Artikel 11
1. Winst of verlies zal door de vennoten, indien niet anders is of wordt overeengekomen,
gelijkelijk worden genoten en gedragen.
2. Onder de winst wordt verstaan: de brutowinst, verminderd met alle kosten ten behoeve van de maatschap gemaakt en alle lasten op de maatschap rustende. Onder kosten zijn mede te begrijpen de in het bedrijfsleven gebruikelijke afschrijvingen op inventaris, goederen en debiteuren. Geen winst wordt geacht te zijn gemaakt, indien enig verlies over vorige jaren nog niet zal zijn ingehaald.
3. In onderling overleg bepalen de vennoten welke bedragen door hen gedurende het boekjaar in mindering van hun winstaandeel mogen worden opgenomen, zulks onder de verplichting om het eventueel te veel gedisponeerde te restitueren zodra duidelijk mocht zijn dat de winst- en verliesrekening over enig jaar slechts lagere disposities toelaat.
Arbeidsongeschiktheid
Artikel 12
1. Bij algehele of gedeeltelijke arbeidsongeschiktheid ten gevolge van ziekte, invaliditeit of andere geestelijke of lichamelijke storing van een der vennoten, nemen de andere vennoten zonder extra vergoeding diens taak zoveel mogelijk waar. Tijdens deze arbeidsongeschiktheid is het de andere vennoten niet toegestaan de maatschap op te zeggen, tenzij hiervoor toestemming is verkregen van de op de voet van artikel 17 te benoemen arbiters.
2. Ieder der vennoten is gehouden een arbeidsongeschiktheidsverzekering af te sluiten met een eigen risico van drie maanden bij een solide Nederlandse verzekeringsmaatschappij, rechtgevende op een uitkering van ten minste ... per jaar.
3. De kosten van deze verzekering komen ten laste van de maatschap.
Einde maatschap
Artikel 13
De maatschap eindigt:
1. door opzegging overeenkomstig het bepaalde in artikel 3;
2. door faillissement, surséance van betaling of ondercuratelestelling van een der vennoten;
3. opzegging ten gevolge van arbeidsongeschiktheid als bedoeld in artikel 12;
4. door het overlijden van een der vennoten;
5. door een daartoe strekkende beslissing, te nemen door na te noemen arbiters, op verzoek van een der vennoten, indien een vennoot de in deze akte opgenomen bepalingen overtreedt of niet nakomt, dan wel handelt in strijd met de aard of strekking daarvan.
Voortzettingsbeding
Artikel 14
1. In geval van beëindiging van de maatschap als bedoeld in artikel 13 zijn de vennoten aan wie opzegging is gedaan, of die de reden tot beëindiging niet hebben veroorzaakt, gerechtigd de zaken der maatschap voor eigen rekening voort te zetten, mits zij hun verlangen daartoe binnen twee maanden na het eindigen der maatschap per aangetekende post te kennen geven aan de gewezen of uittredende vennoot casu quo diens erven of rechtverkrijgenden.
2. Op de vennoten die van dit recht gebruik maken, zullen alle rechten en verplichtingen van de maatschap overgaan, onder verplichting om aan de gewezen of uittredende vennoot casu quo diens erven of rechtverkrijgenden binnen twee maanden na de beëindiging der maatschap uit te betalen een bedrag gelijk aan het saldo van diens kapitaalrekening.
Liquidatie
Artikel 15
1. Wanneer de maatschap eindigt en de zaken der maatschap door de andere vennoten niet worden voortgezet, dan wordt de maatschap geliquideerd door de vennoten samen. In geen geval mag de liquidatie langer duren dan zes maanden.
2. Uiterlijk vier weken na afloop van de liquidatie moet aan ieder der vennoten het totaal van het hun uit hoofde van de liquidatie toekomende worden uitgekeerd. Gedurende de liquidatie blijven de bepalingen van de onderhavige overeenkomst, voor zover toepasselijk van kracht.
Concurrentiebeding
Artikel 16
1. Geen der vennoten is gerechtigd om gedurende de eerste vijf jaar na het uittreden, alleen of met anderen. in een gebied met een straal van tien kilometer en met het kantoor der maatschap als middelpunt, het beroep van ... uit te oefenen.

Aanvullend recht
Artikel 18

Het door eiser ingediende verzoek om de 'voorlopige injunctie' [preliminary injunction] die hierbij opgelegd wordt, is heden op reguliere wijze ter terechtzitting in behandeling genomen, nadat de rechtbank op 19 september 19.. gedaagde gelast heeft om (door middel van overtuigende argumenten) aan te tonen waarom de gevraagde injunctie niet zou moeten worden opgelegd [order to show case]. Eiser liet zich vertegenwoordigen door de advocaat A.. P..; gedaagde liet zich vertegenwoordigen door de advocate A.. M..
De rechtbank is overtuigd door het geleverde bewijs en acht voldoende rechtsgrond aanwezig om als volgt uitspraak te doen.

1. Each of the partners will be entrusted with the management of the Partnership. This will include keeping records, clients' acquisition, furthermore all that is connected with the management, e.g. managing publicity and an advertising campaign.
2. The partners will also be empowered to bind the Partnership to third parties and third parties to the Partnership, to act, sign, and make and receive payments on behalf of the Partnership, but on the understanding that the other partners' cooperation is always required for:
a. renting, letting, disposing of, encumbering immovable property;
b. granting power of attorney and granting a title to a holder of a power of attorney;
c. engaging and dismissing employees and determining their salaries and terms of employment;
d. providing personal and collateral security;
e. conducting proceedings (both as plaintiff and defendant), and performing all juristic acts, not referred to above of which the interest or value exceeds the amount of € ..., except the withdrawing of available money at the Partnership's banker;
f. performing all juristic acts not related to the objectives of the Partnership.
Prohibition against sideline activities
Clause 7
1. As long as the Partnership exists, each of the partners will be prohibited from carrying on the profession of .. outside the Partnership, directly or indirectly, for his own account or for the account of third parties or for the joint account of himself and third parties ( .. and others).
2. If a partner violates this stipulation he will forfeit a penalty payment of € 25,000 in favour of the other partners for each violation (infringement?), without prejudice to all other rights of the other partners under the present agreement and by virtue of the law.
Prohibition against extended liability
Clause 8
Without the written consent of the other partners each of the partners will be prohibited from committing himself as surety or joint and several debtor or making himself answerable for another person in any way, also in matters not related to the affairs of the Partnership.
Prohibition against transfer of interest
Clause 9
Each of the partners will be prohibited from selling his interest or rights in the Partnership to third parties or disposing of goods or money belonging to the Partnership for his own benefit.
Financial year
1. The Partnership's financial year will run from ... up to and including ... . The first financial year will run from the date on which the Partnership will be formed (...) up to ...
2. After the end of every financial year and also on termination of the Partnership agreement, the books of the Partnership will be closed and not later than six months after that (!?) the balance sheet and the profit and loss account will be drawn up.
3. The balance sheet and the profit and loss account will be signed by all the partners in witness of their approval.
4. If the partners cannot reach agreement on the drawing up of the annual financial statements, they will be adopted by arbitrators and be binding on the partners.
Appropriation of profits
1. A profit or loss will be received or incurred by all partners equally, if not agreed otherwise.
2. A profit is understood to be: a gross profit minus all cost incurred for the benefit of the Partnership plus all expenses that are for the Partnership's account. The cost is understood to include, among other things, the writing of of office inventory, goods and debtors, which is usual in business. The Partnership will be deemed not to have made any profit, if any loss of a previous year is not yet been taken into account.
3. By mutual consultation, the partners will decide what amounts of money they will be allowed to withdraw to the debit of their shares of the profit during the financial year, on condition that they are obliged to refund the amount that is excessively withdrawn, as soon as it becomes clear that the profit and loss account of some financial year allows only smaller sums to be withdrawn.
Incapacity for work
Clause 12
1. In case of full or partial incapacity for work of one of the partners owing to a disease, disablement, or some other mental or physical disorder, the other partners will, as far as possible, deputize for him in his absence free of extra payment. The other partners will not be allowed to dissolve the Partnership during this incapacity, unless they have received permission to dissolve the Partnership from the arbitrators that are to be appointed according to clause 17.
2. Each of the partners is obliged to take out a permanent health insurance policy with a sound Dutch insurance company, that carries a three-months' waiting period, and the insurance will entitle the insured to an insurance payment of at least ... annually.
3. The cost of this insurance will be for the account of the Partnership.
Termination of the partnership agreement
Clause 13
The partnership agreement will be terminated:
1. by dissolution in accordance with the provisions of clause 3;
2. by bankruptcy of, suspension of payments granted to, or placement under guardianship of one of the partners;
3. dissolution on account of incapacity for work as meant in clause 12;
4. by the decease of one of the partners;
5. by a decision to terminate the partnership agreement to be taken by the arbitrators mentioned below at the request of one of the partners, if one of the partners acts contrary to the stipulations included? in this agreement, or fails to comply with them, or acts contrary to their purport.
Continuation clause
Clause 14
1. In case of termination of the partnership agreement as meant in clause 13, the partners to whom notice has been given of the dissolution of the Partnership or those partners who have not caused the reason for the termination will be entitled to continue the business of the Partnership for their own account, provided they let their wish to continue the business of the Partnership be known to the former or withdrawing partner or his heirs or assigns? as the case may be.
2. All rights and obligations attached to the Partnership will pass to the partners who exercise this right, under the obligation to pay to the former or withdrawing partner, or, where appropriate, his heirs or assigns, an amount equal to the balance of his capital account within two months of the dissolution of the Partnership.
Winding-up
Clause 15
1. If the Partnership is dissolved and the business of the Partnership is not continued by the remaining partners, the Partnership must be wound up by the partners jointly. On no account may the process of winding-up the Partnership exceed a period of six months.
2. Four weeks after the last day of the winding-up of the Partnership at the latest, the total portions owed to the partners by virtue of the winding-up must be distributed to them. During the winding-up, the stipulations herein will remain in force to the extent that they are applicable.
Non-competition covenant
Clause 16
1. During the first five years after withdrawing from the Partnership, no partner will be entitled to practise the profession of ..., alone or with others, in an area with a radius of ten kilometres and with the office of the Partnership as the centre.

Arbitration
Clause 17
All disputes ensuing from the present Agreement or any further agreements made in pursuance thereof or connected herewith, will be exclusively settled by three arbitrators, who are to be appointed by the President of the Chamber of Commerce and Industry [+ translator's note] for ...
Non-mandatory provision
In so far as the stipulations of this Agreement do not deviate therefrom in a legally valid manner, the Partnership will be governed by the statutory provisions regarding the private partnership [maatschap]
Formation costs
Clause 19
The costs relating to the execution of this instrument will be borne by the Partnership.
