The question is not difficult, but I am hesitating between 2 possible translations of this term (being context dependent)

Attorney: In general, one who is authorized or empowered to act for another, in particular matters or in general ie Person who receives a power of representation by virtue of a mandate which would be translated as "fondé de pouvoir"

OR

Attorney:One trained and licensed to prepare, manage, and either prosecute or defend a court action as an agent for another and who also gives advice on legal matters that may or may not require court action. translated as "avocat", conseil juridique

Here is some context:
The directors may from time to time and at any time by power of attorney appoint any Company, firm or person or body of persons, whether nominated directly or indirectly by the directors, to be the *attorney or attorneys of the Company* for such purposes and with such powers, authorities and discretions (not exceeding those vested in or exercisable by the directors under these articles) and for such period and subject to such conditions as they may think fit, and any such powers of attorney may contain such provisions for the protection and convenience of persons dealing with any such attorneys as the directors may think fit, and may also authorise any such attorney to delegate all or any of the powers, authorities and discretions vested in him.

I would tend to go for "fondé de pouvoir" except for the fact that the word "proxy" is used for this in many places in the text.
OR maybe just Représentant légal de la société?

The key point is that the powers of the "attorney of the company" are derived/delegated powers - these powers are originally the powers of company officers (that have legally the right to represent the company, by definition), powers that have been partially or totally delegated to the "attorney of the company".

Asker: Merci Daryo, j'apprécie ton raisonnement et ta proposition. Mais comment alors devrais-je, à ton avis, traduire "proxy"que j'ai déjà traduit par "fondé de pouvoir". Puisque le texte source fait une différence entre les deux termes, ne devrais-je pas aussi marquer une différence?
