(e) Any Dispute between the Parties with respect to Contractor’s determination pursuant to Section 18.6(d) (Event of Loss and Restoration) shall be referred to the Third-Party Expert pursuant to Section 25.3 (Technical Disputes). Any certification by Contractor that the amount referred to in Section 18.6(d)(ii)(A) (Event of Loss and Restoration) exceeds the amount referred to in Section 18.6(d)(ii)(B) (Event of Loss and Restoration) or any agreement between the Parties or a final determination by the Third-Party Expert pursuant to Section 25.3 (Technical Disputes) or the arbitral tribunal pursuant to Section 25.4 (Arbitration) that the Phase I Plant, the Phase II Early Utility Units, the Phase II Facilities or the Integrated Plant (as appropriate) or portion thereof cannot be repaired and reinstated to permit operation on a commercially feasible basis is herein referred to as a “Negative Reinstatement Determination”. If a certificate by Contractor confirms that the amount referred to in Section 18.6(d)(ii)(A) (Event of Loss and Restoration) does not exceed the amount referred to in Section 18.6(d)(ii)(B) (Event of Loss and Restoration), any agreement between the Parties or a final determination by the Third-Party Expert pursuant to Section 25.3 (Technical Disputes) or the arbitral tribunal pursuant to Section 25.4 (Arbitration) that the Phase I Plant, the Phase II Early Utility Units, the Phase II Facilities or the Integrated Plant (as appropriate) or portion thereof can be repaired and reinstated to permit operation on a commercially feasible basis is herein referred to as an “Affirmative Reinstatement Determination”.
