Möglich wäre natürlich auch "in bar zu leistender Gesamtkaufpreis", aber im Kontext von Übernahmen wird oftmals von der "Gegenleistung" gesprochen, z.B. in § 31 WpÜG.

Das Konzept der "Gegenleistung in bar" deutet nicht auf einen Container voller Euro-Noten hin, sondern steht im Gegensatz z.B. zu einer Gegenleistung in Wertpapieren (wie aktuell bei der Übernahme von Bear Stearns durch JP Morgan).
Analog wird ein Angebot zur Übernahme von Wertpapieren gegen eine Geldleistung auch als "Barangebot" bezeichnet - siehe z.B. http://www.bafin.de/cln_011/nn_724104/SharedDocs/Downloads/D...
