Just to add an alternative "take":
it could be that someone with no authority to act for the company in the context of the awarding of contract to a third party (Aussenverhaeltnis) did indeed do so although not the authorized agent established by the Innenverhaeltnis. Thus the two were not kongruent; he acted anyway, leaving this out of account.

Innenverhältnis / Außenverhältnis:
- Es ist zu unterscheiden zwischen dem Verhältnis Vollmachtgeber/Bevollmächtigter (Innenverhältnis) und dem Verhältnis Bevollmächtigter/Dritter (Außenverhältnis).
- Das Innenverhältnis bestimmt das rechtliche Dürfen, das Außenverhältnis das rechtliche Können.
