The General Meeting shall be responsible, inter alia, for the taking of decisions in respect of the matters listed in this Regulation 80A (the "Shareholders' Reserved Matters"). Approval of any Shareholders' Reserved Matter requires an ordinary resolution of the General Meeting, unless a special or other resolution is required by law. The matters referred to above are:
- Any Group Company granting, creating or allowing to arise any charge, security, lien or encumbrance over any of its assets, other than any charge, security, lien or encumbrance (i) arising by operation of law in the ordinary and normal course of business, or (ii) granted in favor of any other Group Company.
