Part A CARVE-OUT STEPS
1. CARVE -OUT OF VENDORS SPV
1.1 The Company, the Vendors and the Purchaser acknowledge that the Vendors wish to consolidate their individual rights and obligations that survive Completion under this Agreement into one single entity and for that purpose wish to assign all those rights and obligations under this Agreement to an SPV (the Vendors SPV) ultimately on (and conditional upon) Completion in accordance with clause 20.1 of the Agreement.
1.2 For the purposes of clause 1.1, the Company and the Vendors undertake to use all reasonable efforts to ensure that the following steps are taken prior to or on Completion:
(a) the Company shall incorporate the Vendors SPV in the legal from of an NV, BV or Stichting;
(b) the Vendors shall assign their rights and obligations under this Agreement, together with all their rights and obligations under the General Escrow Agreement, to the Vendors SPV effective per and conditional upon Completion having occurred;
(c) the Vendors shall give notice to the Purchaser of the assignments referred to under (b), in accordance with clause 20.3 of this Agreement and the relevant provision of the General Escrow Agreement, respectively;
(d) the Vendors shall have obtained any necessary internal or governmental approvals (including to the extent necessary on the basis of section 160(2) of the Dutch Municipalities Act (Gemeentewet) and section 158(2) of the Dutch Provinces Act (Provinciewet) to participate in and/or control the governance of the Vendors SPV;
(e) the Company will either distribute in kind or sell and transfer against nominal value the share capital of the Vendors SPV to the Vendors or, as the case may be, allow the Vendors to take contol of the governance of the Vendors SPV.
1.3 The Purchaser agrees (i) that it shall allow the Company and the Vendors to waive some or all of the envisaged steps, take such other steps or implement such alternative structure as reasonably deemed necessary by the Company or the Vendors in connection with the purpose set out in clause 1.1 above, and (ii) that it shall if so required or contemplated hereby cooperate with the Company and the Vendors to implement such waiver, other steps or alternative structure, provided that such waiver, other steps or alternative structure do not materially affect the rights of the Purchaser under this Agreement or effectively result in a (net) increase in the Purchaser’s liabilities under this Agreement relative to what is contemplated hereby.

1.1 De Vennootschap, de Verkopers en de Koper bevestigen dat de Verkopers hun afzonderlijke rechten en verplichtingen, welke nog gelden na Overdracht krachtens deze Overeenkomst, willen onderbrengen in één rechtspersoon en in dit kader al deze rechten en verplichtingen krachtens deze Overeenkomst willen cederen aan een SPV (de SPV van Verkopers), uiterlijk ten tijde van (en op voorwaarde van) Overdracht overeenkomstig artikel 20.1 van de Overeenkomst.
1.2 Voor het doel van artikel 1.1 verbinden de Vennootschap en de Verkopers zich tot het doen van alle redelijke inspanningen om te garanderen dat de volgende stappen voor of bij de Overdracht zijn ondernomen:
(a) de SPV van Verkopers dient door de Vennootschap te worden opgericht met de rechtspersoonlijkheid van een NV, BV of stichting;
(b) de Verkopers dienen hun rechten en verplichtingen krachtens deze Overeenkomst, alsmede al hun rechten en verplichtingen krachtens de Algemene Escrow-Overeenkomst, over te dragen aan de SPV van Verkopers met ingang van en op voorwaarde van het realiseren van de Overdracht;
(c) de Verkopers dienen de Verkoper in kennis te stellen van de onder (b) bedoelde cessies, overeenkomstig artikel 20.3 van deze Overeenkomst en de betreffende bepaling van de Algemene Escrow-Overeenkomst;
(d) de Verkopers dienen te beschikken over alle interne en van overheidswege vereiste toestemmingen (waaronder, voorzover nodig, die op grond van artikel 160, lid 2 Gemeentewet en artikel 158, lid 2 Provinciewet) om deel te nemen in c.q. zeggenschap te hebben over het bestuur** van de SPV van Verkopers;
(e) de Vennootschap zal het aandelenkapitaal van de SPV van Verkopers in natura uitkeren aan de Verkopers, of dit ‘om niet’** verkopen en overdragen aan de Verkopers, of in voorkomend geval de Verkopers de zeggenschap over het bestuur** van de SPV van Verkopers toestaan.
1.3 De Koper komt overeen (i) dat hij de Vennootschap en de Verkopers toe zal staan om af te zien van enige of alle beoogde stappen, of om enige andere stappen te ondernemen of alternatieve structuren in het leven te roepen die de Vennootschap of de Verkopers redelijkerwijs noodzakelijk achten in verband met het in bovenstaand artikel 1.1 uiteengezette doel, en (ii) dat hij zijn medewerking zal verlenen aan het realiseren van zulk afzien van stappen, of zulke andere stappen of alternatieve structuur, welke wordt verzocht of beoogd door de Vennootschap en de Verkopers, op voorwaarde dat zulke afstandverklaring van stappen, andere stappen of alternatieve structuur de rechten van de Koper krachtens deze Overeenkomst niet wezenlijk aantasten, of dat hierdoor de aansprakelijkheden van de Verkoper krachtens deze Overeenkomst per saldo in feite toenemen, in vergelijking met hetgeen hiermee wordt beoogd.

X is een nieuw product. In de eerste helft van 2008 is het getest door zestien fysiotherapeuten en twee fitnessclubs en sinds augustus 2008 op de Nederlandse markt gebracht. En sinds voorjaar 2009 (middels partners) ook verkrijgbaar in België, Duitsland, Oostenrijk en Zwitserland. Het is een 100% Nederlands product met een wereldwijde ambitie en potentie.
Eerste reacties
Wij zijn verheugd over de reacties die we tot nu toe mochten ontvangen over ons product. De fysiotherapeuten zagen X als een waardevolle training ter voorkoming en vermindering van lage rugklachten. De fitnessclubs gaven met X invulling aan het buikspierkwartier. De reacties van de gebruikers zijn lovend en de klassen waren vol. De meeste mensen gaven aan dat er “eindelijk een buikspiertraining is die comfortabel is, leuk is om in een klas te doen, en goed te doseren, waarbij de nek niet wordt belast.” And last but not least: “Eindelijk is er een fitnessmeubel dat zo mooi is dat ik hem in mijn huiskamer wil zetten.”
Dutch Design
Het bankje is ontwikkeld en getest door een team van fysiotherapeuten, sportschoolprofessionals en designers. Dit heeft geresulteerd in de bijzondere vorm en maakt X bijzonder effectief én veilig en verantwoord. Bovendien is gezorgd voor een fraai ontwerp dat verkrijgbaar is in meerdere kleuren. En daarmee is de X een aanwinst voor iedere sportruimte, huiskamer of werkplek.

BeatBelly is a new product. In the first half of 2008 16 physiotherapists and two fitness clubs tested the product. In August 2008, BeatBelly was introduced on the Dutch market. Since the spring of 2009 Beatbelly is also available via partners in Belgium, Germany, Austria and Switzerland. Typically Dutch in design and innovative strength, it is a product with global aspirations and potential.
Initial responses
We are pleased with the product feedback we received to date. The physiotherapists concluded that BeatBelly is a valuable training for preventing and reducing lower back problems. The fitness clubs used BeatBelly for their abs crunch quarter. Users reacted enthusiastically and the classes were fully booked. Most people commented about BeatBelly: “finally an abs training in a comfortable position, which is fun to do in a group, easy to dose, and doesn’t put a strain on your neck.” And last but not least: “Finally a fitness bench that looks good enough to put in my living room.”
Dutch Design
The bench was designed and tested by a team of physiotherapists, fitness school professionals and designers. This resulted in the unique shape and makes BeatBelly both an extremely effective and a safe tool for responsible workouts. The attractive design is available in various colours, making the BeatBelly an asset for any health club, living room or workplace.

‘Photographing in Poland, I found a dead moose that would be ideal bait. Five hours later, an adult and an immature white-tailed eagle arrived together, and a struggle broke out. The older, more experienced bird won, forcing the immature eagle to wait its turn for more than an hour, along with other scavengers.’
White-tailed eagles are the largest eagles in northern Europe, with a wingspan of more than two metres. Mature birds have a yellow beak, while the juveniles are a darker brown. Eagles will swoop and catch fish, but will also feed on carrion. When winter is particularly cold, and food is scare, fights over food break out.

‘Lying on the muddy bank, along the Cuiabá River in the Pantanal, Brazil, I was eye-to-eye with the scavengers. The early morning light was beautifully soft but the smell was truly terrible.’
South American black vultures prefer carrion, but they’re not fussy and will also eat fruit and eggs. When they are frightened, they vomit up the food they have just eaten to become lighter and to help them escape more easily. A black vulture would never attack a caiman, but on finding a dead one would happily tuck in. They go for eyes first, digging down through the sockets to the meat inside.

‘I lived in a hide overlooking a lake in Pohtiolampi, Finland, for five days, waiting for ospreys to stop off to feed. For four days, the wind blew in the wrong direction, and the birds dived from behind the hide. Only on the last day did the wind change, allowing just this single shot of the osprey I had hoped for.’
Ospreys hover over water then dive, plunging into the shallows to grab prey. They have special feet to hold onto slippery fish scales: the soles are covered in spines and one talon can move so the bird can grip either side of the fish. Ospreys are found by rivers, lakes and lagoons all over the world.

‘I was in Finland and for three hours, along with a handful of nonchalant female grouse, watched four males strut, march, fluff, flutter, flounce, shimmy, sashay, “roo-roo-roo”, leap and fight to be judged as the fittest, most promising, most mateable male. The females weren’t so impressed: none of them mated.’
In the spring dawn, male black grouse all over Europe put on a fabulous courtship display. They strut around, leaping and fighting while singing a distinctive courting song. But despite their best attempts, black grouse are on the decline in western Europe to the point of being extinct in many parts of England. Conservation groups are trying to save and re-introduce the species.

‘Sex for a stick seemed to be the deal in Finland. It’s rare enough to see ospreys mating, never mind photograph them. So to witness such intimate sexual politics was a triumph. Every time the male offered the female a twig, she would mate with him. But if he came home with moss, she wouldn’t.’
Ospreys build their nests at the tops of trees or rocky outcrops along coasts, all over the world. Nests are used year after year by pairs of ospreys who usually mate for life. When the pair are building a nest the male offers the female a present, such as a twig, to encourage her to mate with him.
‘Tijdens een fotosafari in Polen vond ik een dode eland, een perfecte lokaas. Vijf uur later zag ik hoe twee zeearenden tegelijk landden en om het vlees begonnen te vechten. De volwassen vogel gooide zijn ervaring in de strijd, en de jongere arend moest meer dan een uur lang toekijken, samen met andere aaseters.’
Met een spanwijdte van ruim twee meter is de zeearend de grootste arend van Noord-Europa. De snavel van volwassen vogels is geel, terwijl jongere vogels een bruine snavel hebben. De arenden grijpen na een duikvlucht vis uit het water, maar ze voeden zich ook met kadavers. Tijdens een strenge winter vechten de vogels om voedsel.
‘Ik lag op de modderige oever van de Cuiabá-rivier in de Pantanal in Brazilië, oog in oog met deze aaseters. Het ochtendlicht was schitterend, maar het stonk verschrikkelijk.’
Zuid-Amerikaanse zwarte gieren eten het liefst kadavers, maar vruchten of eieren versmaden ze ook niet. Als ze bang zijn, braken ze het voedsel dat ze zojuist hebben gegeten weer uit, zodat ze lichter worden en makkelijker kunnen ontsnappen. Een zwarte gier zou normaal nooit een kaaiman aanvallen, maar een dode kaaiman is gewoon een lekker hapje. Ze pikken eerst de ogen uit om het vlees achter de oogkassen te bereiken.
‘Ik had vijf dagen een plek in een schuilhut bij een meer bij Pohtiolampi in Finland in de hoop foeragerende visarenden te zien. Vier dagen lang stond de wind verkeerd en doken de vogels vanachter de schuilhut over het water. Pas op de laatste dag draaide de wind en kreeg ik gelukkig deze visarend voor de lens.’
Visarenden zweven boven het water, duiken en grijpen hun prooi dan vlak onder het oppervlak. Hun poten zijn perfect om de glibberige visschubben te grijpen. Onder hun zolen hebben ze kleine stekels en een van de klauwen is heel bewegelijk, zo dat ze de vis aan weerszijden kunnen grijpen. Visarenden komen over de hele wereld voor bij rivieren, meren en lagunes.

‘In Finland zag ik mannetjes drie uur lang pompeus paraderen, hun veren opzetten, klapwieken, opstuiven, sidderen en danspassen maken, roekoeën, springen en vechten – dit alles om bij de vrouwtjes als beste uit de bus te komen. Maar de vrouwtjes waren niet onder de indruk: er werd niet gepaard.’
Bij zonsopgang In de lente voeren korhoenderhanen in heel Europa ’s ochtends vroeg prachtige baltsdansen op. Ze paraderen rond, springen en vechten, terwijl ze een kenmerkend baltslied zingen. Maar ondanks al deze moeite loopt het aantal korhoenders in West-Europa terug en zijn ze bijna uitgestorven in grote delen van Engeland. Natuurbeschermers proberen de soort te redden door hem opnieuw uit te zetten.
‘Ze bedreven de liefde nogal houterig, daar in Finland. Je ziet visarenden maar heel zelden paren, laat staan dat je ze dan kan fotograferen. Dus toen ik getuige was van deze intieme sessie was ik dolblij. Telkens als het mannetje het vrouwtje een twijg aanbood, paarde ze met hem. Maar als hij thuiskwam met mos, wilde ze niet.’
Visarenden over de hele wereld bouwen hun nest bovenin bomen of op rotspartijen langs de kust. De nesten worden jaar in jaar uit gebruikt door visarendparen die meestal hun hele leven bij elkaar blijven. Als de vogels het nest bouwen, biedt het mannetje vaak een twijgje als geschenk aan, om haar tot paren over te halen.
