Source text - English 1. Definition. As used herein, Confidential Information means any information to be disclosed, directly or indirectly, by a party to the other party from the Effective Date in the form of document or other tangible material which are designated as "confidential," or the like. Information disclosed orally or in intangible form is considered Confidential Information only if such information is identified as confidential at the time of disclosure and its written summary is delivered to the receiving party within 30 days after the first disclosure.
2. Exclusion. Confidential Information does not, however, include any information that: (i) is publicly available at the time of disclosure by the disclosing party; (ii) becomes publicly available after disclosure by the disclosing party without the receiving party's breach of confidentiality obligations; (iii) is in the possession of the receiving party at the time of disclosure by the disclosing party; (iv) is obtained by the receiving party without confidentiality constraints from a third party lawfully in possession; or (v) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.
3. Limited Use and Non-Disclosure. Neither party shall use any Confidential Information of the other party for any purpose other than the Purpose, nor shall disclose any Confidential Information of the other party to any third party, except that it may disclose the other party's Confidential Information to its directors, officers, employees, affiliates, agents, consultants and advisors who have a need to know such Confidential Information and have agreed to be bound by the provisions of this Agreement. If a receiving party is required by law, or court or governmental order to make any disclosure that is prohibited or otherwise constrained by this Agreement, it may disclose the Confidential Information of the disclosing party to the extent so required, provided that it will make efforts to promptly notify the disclosing party in writing so that the disclosing party could have a chance to seek a protective order or other appropriate relief.

Translation - English Article 2. These guidelines apply to the protection of children found to be living in custodial difficulties within the administrative divisions of XX.
Article 3. The efforts to protect children in custodial difficulties must be in compliance with law, in the best interests of children, and based on cross-agency collaboration, community engagement, and localized management.
Article 4. The children in custodial difficulties (hereafter “Children in Difficulties”) referred to in these guidelines are children who are subject to threats to or infringement of their personal safety due to lack of or improper family custody or due to guardians’ infringements, or children who are under the hazardous situation of being unattended.
The lack of custody mentioned above refers to situations in which children are not in the custody of anyone or have lost effective custody as the parents or any other guardians (collectively, the "Guardians") are unable to fulfil their custodial responsibilities or have abandoned the children for any of these reasons: death (declared death in absentia), disappearance (declared disappearance), imprisonment, compulsory drug rehabilitation or other compulsory measures restricting personal liberty, long-term migration in pursuit of work, serious disability or disease, or other reasons.
The improper custody mentioned above refers to situations in which children are placed in hazardous circumstances or not in effective custody because the guardians fail to fulfil their custodial responsibilities.
The guardians’ infringements mentioned above include sexual assault, sale, abandonment and abuse of and violence against minors, abetting minors in and utilizing minors for illegal or criminal acts, coercing or luring minors into or utilizing them for begging, and seriously harming the physical and mental health of minors by failing to perform the guardians’ responsibilities.

During the Chinese New Year 2020, the coronavirus disease (COVID-19) pandemic broke out and spread at a terrific speed. On 20 January 2020, the National Health Commission of China classified pneumonia caused by the COVID-19 virus as a category B infectious disease under the Law of the People's Republic of China on Prevention and Treatment of Infectious Diseases, and decided to take preventive and control measures typically for category A infectious diseases. Due to the pandemic, many cities in China have implemented lockdown measures and travel restrictions, delayed resumption of work, and compulsorily cancelled tourism products. Globally, it has been declared a public health emergency of international concern (PHEIC), and many countries and regions have imposed entry controls. The pandemic has not only impaired people’s lives, health, living and national economies, but also put obstacles to the negotiations, interim periods and closing of many M & A transactions involving complicated contract performance periods, volumes and timelines. Having analyzed COVID-19 impacted cases and drawing upon experience, the Investment and M & A Team of our firm has identified common risks in different transaction phases based on M & A timelines. We have further proposed risk management solutions to facilitate the steady progress or orderly termination of M & A transactions.
To invest in M & A transactions during the pandemic, it is advisable to identify potential risks posed by the pandemic based on each project’s timeline. To facilitate the steady progress or orderly termination of a transaction, the parties to the transaction should take appropriate measures in their common interest, in particular:
1. Screen all uncompleted projects immediately
From the prospective of project management, the general timelines and steps of investment and M & A transactions include the following phases: initial consultation, due diligence, contract negotiation, closure and integration. While the impact of the pandemic lingers, it is advisable to go through the contract, covenants, liability for breach, and other details about any uncompleted project, whichever phase it is in, to predict what progress and steps would be affected and to at least analyse the following questions:
✓ Which party/parties would be affected by the pandemic?
✓ What are the rights and obligations of the affected party/parties at the current stage of the M & A transaction?
✓ What would be the possible consequences or risks if such rights or obligations are affected?
✓ How would the unaffected party/parties respond to these consequences or risks?
✓ What are the targeted solutions and alternative solutions to these consequences or risks?
