Texto de origem - português Cláusula 1ª
(Objeto)
1. O presente Contrato tem por objeto regular os termos e condições específicas em que a [***] presta ao Cliente os serviços de soluções de dados, de acesso à Internet, Voz IP, Comunicações Unificadas e o serviço de assistência técnica, descritos no Anexo I e II do presente Contrato (doravante globalmente designados por “Serviço(s)”).
2. Os serviços de voz fixa e de voz móvel regem-se pelo disposto nas Condições Gerais de Prestação de Serviços de Comunicações Eletrónicas e nas Condições Específicas de Prestação do Serviço de Voz Fixa e de Voz Móvel da [***], constantes do Anexo VI do presente Contrato.
3. Fazem parte integrante do presente Contrato, para todos os efeitos legais, os Anexos organizados da seguinte forma:
ANEXO I: Caracterização dos serviços de soluções de dados, de acesso à Internet, Voz IP, comunicações unificadas, equipamento cedido e configuração da rede do Cliente;
ANEXO II: Assistência Técnica e Níveis de Serviço na Rede;
ANEXO III: Preços;
ANEXO IV: Política Aceitável de Utilização;
ANEXO V: Service Level Agreement (“SLA”);
ANEXO VI: Condições Gerais de Prestação de Serviços de Comunicações Eletrónicas e Condições Específicas de Prestação do Serviço de Voz Fixa e de Voz Móvel da [***];
4. Caso os Anexos I e III contenham Apêndices, estes fazem parte integrante do presente Contrato, podendo constar da versão inicial do mesmo ou ser aditados no futuro por acordo entre as Partes.
5. Os Apêndices referidos no número anterior serão devidamente assinados e rubricados por ambas as Partes e numerados de forma sequencial.
6. Não existe prevalência entre cada um dos vários Apêndices de cada Anexo, a menos que as Partes o estipulem especificamente.
Cláusula 2ª
(Equipamentos e Software)
1. A [***] cede a utilização ou vende ao Cliente, consoante o que se encontrar determinado no Anexo I ao presente Contrato, o equipamento, software e demais material indicado no mesmo Anexo, os quais se destinam exclusivamente a ser utilizados para prestação, pela [***], do Serviço, não lhes podendo ser dado qualquer outro destino.
2. O Cliente obriga-se a manter à sua guarda, em segurança e em bom estado de conservação o equipamento e software que lhe tenha sido cedido pela [***], independentemente do local onde os mesmos se encontrem instalados, sendo o Cliente responsável perante a [***], em caso de furto, roubo, destruição, alteração ou qualquer deterioração dos mesmos, ressalvadas as deteriorações decorrentes do uso normal para os fins a que se destinam.
3. Em caso de cedência de equipamento, o Cliente obriga-se a facultar aos técnicos, para o efeito devidamente credenciados pela [***], acesso aos locais onde o mesmo se encontra instalado, para realização de testes, inspeções ou quaisquer outras operações necessárias para assegurar o bom e eficaz funcionamento do serviço contratado, bem como para proceder à desmontagem dos equipamentos cedidos pela [***] findo o Contrato.
4. Na medida do possível, as operações previstas no número anterior serão realizadas nos dias úteis das 9 (nove) às 18 (dezoito) horas, devendo a [***] informar o Cliente da data e hora em que as mesmas terão lugar.
5. Cabe exclusivamente ao Cliente assegurar a existência de condições ambientais adequadas ao bom funcionamento do equipamento, bem como a instalação e fornecimento de energia elétrica de forma adequada e necessária ao bom funcionamento do equipamento utilizado para prestação do serviço contratado.
6. Os Serviços objeto do presente Contrato poderão ser colocados em funcionamento em cada uma das diferentes moradas que para o efeito sejam indicadas pelo Cliente para instalação de equipamento ou prestação de serviços (doravante “Local de Instalação) de forma gradual.
7. No caso de a [***] não conseguir proceder à desmontagem, no prazo de 30 (trinta) dias após a cessação do presente Contrato ou após o pedido de desmontagem de qualquer acesso ou conectividade, por razões imputáveis ao Cliente, este ficará obrigado a indemnizar a [***], no montante equivalente ao valor da substituição do respetivo material e equipamento.
Cláusula 3ª
(Assistência)
A assistência técnica aos equipamentos e aos Serviços identificados no Anexo I será efetuada pela [***] nos termos constantes do Anexo II.
Cláusula 4ª
(Recursos de Acesso aos Serviços)
1. Para o acesso aos Serviços objeto do presente Contrato, poderá ser atribuído pela [***] ao Cliente, um código de identificação pessoal ("Nome do Utilizador" / Username) e um código de acesso aos Serviços ("Código de Acesso" / Password), os quais constituem os elementos de identificação do Cliente e, como tal, têm carácter pessoal e intransmissível.
2. O Código de Acesso / Password é para conhecimento e uso exclusivo do Cliente, pelo que este deverá assegurar e proteger em quaisquer circunstâncias a confidencialidade do mesmo, nomeadamente, não o revelando a terceiros e não operando em condições que permitam a sua descodificação e cópia.
3. A [***] não será responsável por quaisquer perdas ou danos causados por utilizações abusivas do Código de Acesso / Password que lhe não sejam imputáveis.
4. Para efeitos de acesso aos Serviços objeto do presente Contrato, o Cliente não poderá utilizar um Código de Acesso / Password de que não seja titular ou de que não possua autorização de utilização.
5. Na data de cessação do Contrato, o Cliente obriga-se a desconfigurar o(s) seu(s) computador(es), para efeitos de devolução à [***] dos endereços fixos I.P. Provider Aggregable-PA, caso estes lhe tenham sido por ela atribuídos.
Cláusula 5ª
(Obrigações do Cliente)
1. Sem prejuízo das demais obrigações contratuais, o Cliente compromete-se a:
a) Não utilizar o Serviço para fins contrários à lei, para proceder à divulgação de informações suscetíveis de lesar a integridade moral ou quaisquer outros direitos ou interesses de terceiros, ou ainda para veicular informações suscetíveis de serem qualificadas como prática e/ou incitamento à prática de atos ilícitos ou ofensivos dos bons costumes, bem como quaisquer informações cuja divulgação possa ou deva, por qualquer motivo, ser considerado ilegal.
b) Efetuar, atempadamente, o pagamento do preço dos Serviços prestados, nos termos previstos no presente Contrato.
c) Informar a [***] de todas as alterações que possam impedir a boa comunicação entre as Partes.
d) Obter todas as autorizações e/ou legalizações e efetuar o pagamento de qualquer quantia que seja devida (seja a que título for) junto das entidades competentes em matéria de gravação de chamadas e de utilização de música em espera e restantes guias vocais, incluindo direitos de autor e conexos, comprometendo-se o Cliente a cumprir toda a legislação em vigor relativa a essas matérias, se aplicável.
2. O Cliente contrata à [***] o serviço de voz com recurso a numeração geográfica para aceder ao mesmo mediante a implementação de uma solução técnica que implica a entrega de tráfego de voz com destino a acessos do Cliente, num único ponto da sua rede privada de comunicação de dados (entrega centralizada de tráfego), não assegurando, assim, a [***] a entrega do tráfego no local físico a que está associada a numeração geográfica atribuída, pelo que constituem obrigações do Cliente as seguintes:
a) O Cliente compromete-se a utilizar a numeração geográfica (2x) atribuída pela [***] para efeitos de prestação do Serviço, no local indicado como morada de acesso aquando da atribuição de numeração.
b) O Cliente declara conhecer as condições legais e regulamentares associadas à utilização de numeração geográfica, designadamente no que concerne aos elementos utilizados na gama de numeração “2x” do Plano Nacional de Numeração, que visam identificar áreas geográficas. O Cliente compromete-se a não subverter os princípios subjacentes à utilização da numeração geográfica, garantindo, assim, que as chamadas realizadas ou rececionadas num número geográfico são restritas ao local físico a que está atribuída a numeração.
c) A [***] desde já adverte o Cliente de que o incumprimento das obrigações constantes das alíneas a) e b) do número 2 desta Cláusula poderá importar a não localização ou a deficiente localização da origem das chamadas realizadas para organizações com competência legal para receber chamadas de emergência, o que prejudica a eventual resposta destas organizações a essas chamadas.
d) O Cliente reconhece e aceita ser responsável perante a [***] ou perante terceiro, pelo pagamento de indemnização de valor equivalente a coima, multa ou sanção pecuniária compulsória aplicada à [***] no âmbito de processo contraordenacional instaurado por entidade pública com poderes para supervisionar o sector das comunicações eletrónicas e, ainda, por todos os prejuízos em que a [***] ou terceiros venham a incorrer, judicial ou extrajudicialmente, em virtude do incumprimento das obrigações contratuais constantes das alíneas anteriores.
Cláusula 6ª
(Responsabilidade)
1. No âmbito do presente Contrato, a [***] apenas poderá ser responsabilizada por danos ou prejuízos que lhe sejam diretamente imputáveis a título de dolo ou culpa grave, não se responsabilizando, nomeadamente, por danos causados por culpa do Cliente ou de terceiro, ou pela perda de receitas ou lucros ou quaisquer prejuízos extraordinários, indiretos ou incidentais resultantes ou relacionados com o presente Contrato do Cliente ou de terceiros.
2. O Cliente expressamente reconhece e aceita que a [***] não é responsável pelo conteúdo da informação ou quaisquer dados disponibilizados ou recebidos através da Internet.
3. A [***] não será responsável por quaisquer danos ou prejuízos que o Cliente ou terceiros possam vir a sofrer, nomeadamente na segurança dos sistemas, redes e/ou recursos informáticos que utilize, em virtude de informações ou quaisquer dados disponibilizados ou recebidos através da Internet, de ataques ilícitos de intrusão de Denial of Service ou congestão do sistema informático e/ou rede, independentemente da tecnologia utilizada pelo Cliente, bem como em virtude de erros (“bugs”) nos sistemas informáticos do Cliente e/ou da necessidade de instalação de desenvolvimentos (“up-grades”) nos sistemas informáticos que utiliza.
4. A [***] não poderá ser responsabilizada pelo não cumprimento ou cumprimento defeituoso das obrigações por si assumidas, quando e apenas na exata medida em que tal resulte da ocorrência de uma situação de natureza extraordinária ou imprevisível exterior à [***] e que por ela não possa ser controlada, tal como guerra (declarada ou não), tumulto, insurreição civil, catástrofes naturais, greves gerais de âmbito nacional, incêndios, inundações, explosões, decisões governamentais ou outras situações não controláveis pela [***] que impeçam ou prejudiquem o cumprimento das obrigações assumidas ao abrigo do presente Contrato.
5. A [***] não será responsável por qualquer tipo de prejuízo, resultante da utilização ilícita, por colaborador do Cliente ou por terceiros, dos recursos de rede ou informáticos do Cliente em ataques a redes do próprio Cliente ou de entidades terceiras, designadamente através da exploração ilícita de vulnerabilidade intrínsecas às tecnologias Wireless Lan.
6. O direito ao recebimento das quantias previstas na Cláusula 7ª não prejudica o direito da [***] de ser indemnizada pelos prejuízos causados.
Cláusula 7ª
(Preços)
1. Pelos Serviços objeto do presente Contrato e pelo equipamento cedido ou vendido o Cliente pagará à [***] as quantias constantes do Anexo III (Preços) ao presente Contrato.
2. A todos os preços previstos no presente Contrato e nos seus Anexos acresce IVA à taxa em vigor.
3. Os preços dos serviços previstos no Anexo III encontram-se sujeitos às alterações que vierem a ser praticadas, as quais serão comunicadas ao Cliente com uma antecedência mínima de 1 (um) mês relativamente à respetiva entrada em vigor, momento em que passarão a constar de um apêndice ao Anexo III.
4. Caso, através de Apêndice, as Partes venham a alterar a configuração inicialmente contratada e descrita no Anexo I, em termos de acessos, serviços e facilidades, os preços que vigorarão serão, salvo estipulação das Partes em contrário, os constantes do Anexo III (Preços), quando aplicáveis à alteração de configuração.
Cláusula 8ª
(Faturação)
1. Sem prejuízo do disposto no número seguinte, a [***] enviará mensalmente ao Cliente para o local indicado no número 1, alínea b), da Cláusula 16ª, as faturas correspondentes ao preço dos Serviços contratados ao abrigo do presente Contrato, acrescidas de IVA à taxa legal em vigor.
2. O Cliente poderá indicar, mediante comunicação, por escrito, dirigida à [***], para o local indicado no número 1 na alínea a) da Cláusula 16ª, outro(s) local(ais), para efeitos de envio de faturas relativas aos Serviços contratados, a qual fará parte integrante do presente Contrato.
Cláusula 9ª
(Pagamentos e Mora)
1. O Cliente obriga-se a pagar à [***] o valor total das faturas emitidas nos termos da Cláusula anterior, no prazo nelas indicado ou até ao último dia útil do mês seguinte ao da emissão da fatura.
2. Sem prejuízo do disposto no número seguinte, todos os pagamentos ao abrigo do presente Contrato serão efetuados por débito em conta ou por cheque.
3. A [***] poderá, sempre que considere conveniente, indicar por escrito outra forma de pagamento diferente da indicada no número anterior.
4. Em caso de mora no pagamento de quaisquer quantias devidas pelo Cliente à [***] ao abrigo do presente Contrato, esta poderá cobrar sobre essas quantias, e pelo período de duração da mora, juros à taxa máxima legal.
5. Os juros de mora serão pagos pelo Cliente na forma e nos termos previstos na Cláusula 8ª.
Cláusula 10ª
(Redução dos Serviços)
1. Sem prejuízo do disposto no número seguinte, caso o Cliente solicite à [***] a redução dos Serviços contratados, ao abrigo do presente Contrato, que represente uma diminuição superior a 25% do valor da Assinatura Mensal, prevista no Anexo III, deste Contrato, a [***] reserva-se o direito de alterar unilateralmente o valor da referida mensalidade, em conformidade com o preçário em vigor ou, em alternativa, continuar a cobrar 75% do valor da Assinatura Mensal prevista no Anexo III.
2. Sempre que a redução dos Serviços contratos, solicitada pelo Cliente, incida sobre equipamento cedido, o Cliente obriga-se a pagar o valor correspondente à soma das mensalidades vincendas, relativas à cedência do equipamento associado ao Serviço, até ao termo do período contratual em curso.

(Object)
1. The purpose of this Agreement is to regulate the specific terms and conditions under which [***] shall provide the Client with the data, Internet access, Voice over IP, Unified Communications solutions services and the technical assistance service, described in Annex I and II of this Agreement (hereinafter globally referred to as the "Service(s)").
2. Fixed voice and mobile voice services shall be governed by the provisions of the General Conditions for the Provision of Electronic Communications Services and the Specific Conditions for the Provision of Fixed Voice and Mobile Voice Services by [***], contained in Annex VI to this Agreement.
3. The Annexes, for all legal purposes, shall form an integral part of this Agreement, which are organized as follows:
ANNEX I: Characterization of the data, Internet access, Voice over IP, unified communications, assigned equipment and Client network configuration solution services;
ANNEX II: Technical Assistance and Network Service Levels;
ANNEX III: Prices;
ANNEX IV: Acceptable Use Policy;
ANNEX V: Service Level Agreement (“SLA”);
ANNEX VI: General Conditions for the Provision of Electronic Communications Services and Specific Conditions for the Provision of Fixed Voice and Mobile Voice Services by [***];
4. In case Annexes I and III contain Appendices, they shall form an integral part of this Agreement and may be included in the initial version thereof or added in the future by agreement between the Parties.
5. The Appendices referred to in the preceding paragraph shall be duly signed and initialed by both Parties and numbered consecutively.
6. There shall be no prevalence between the various Appendices of each Annex unless specifically provided for by the Parties.
Clause 2
(Equipment and Software)
1. [***] shall assign the use or shall sell to the Client, depending on what is determined in Annex I to this Agreement, the equipment, software and other material indicated in the same Annex, which shall be exclusively intended to be used for the provision of the Service by [***], and may not be given any other destination.
2. The Client undertakes to keep the equipment and software assigned to it by [***] in a safe and good state of conservation, irrespective of the place where they are installed, and the Client shall be liable to [***] in case of theft, robbery, destruction, alteration or any deterioration of the same, except for the deterioration resulting from the normal use for the purposes for which they are intended.
3. In case of equipment assignment, the Client undertakes to provide the technicians, duly accredited by [***] for this purpose, with access to the places where the equipment is installed, to carry out tests, inspections or any other operations necessary to ensure the good and efficient operation of the service contracted, as well as to disassemble the equipment assigned by [***] at the end of the Agreement.
4. To the extent possible, the operations provided for in the preceding paragraph shall be carried out on working days from 9 (nine) a.m. to 6 (six) p.m., and [***] shall inform the Client of the date and time on which they shall take place.
5. It is the exclusive responsibility of the Client to ensure the existence of adequate environmental conditions for the proper functioning of the equipment, as well as the installation and supply of electrical energy in an adequate and necessary manner for the proper functioning of the equipment used to provide the service contracted.
6. The Services that are the subject of this Agreement may be put into operation at each of the different addresses indicated for this purpose by the Client for the installation of equipment or provision of services (hereinafter the “Installation Site”) in a gradual manner.
7. In the event that [***] is unable to disassemble within 30 (thirty) days after the termination of this Agreement or after the request for disassembly of any access or connectivity, for reasons attributable to the Client, the Client shall be obliged to indemnify [***] in an amount equivalent to the amount of the replacement of the respective material and equipment.
Clause 3
(Assistance)
Technical assistance for the equipment and services identified in Annex I shall be provided by [***] in accordance with Annex II.
Clause 4
(Service Access Resources)
1. To access the Services that are the subject of this Agreement, a personal identification code ("Username") and an access code to the Services (“Password”) may be assigned by [***] to the Client, which constitute the identification elements of the Client and, as such, are personal and non-transferable.
2. The Password shall be for the exclusive knowledge and use of the Client, so the latter shall ensure and protect in any circumstances the confidentiality of the same, in particular by not revealing it to third parties and not operating under conditions that allow its decoding and copying.
3. [***] shall not be liable for any loss or damage caused by misuse of the Password that are not attributable to it.
4. To access the Services that are the subject of this Agreement, the Client may not use a Password of which it is not the owner or which it is not authorized to use.
5. On the date of termination of the Agreement, the Client undertakes to de-configure its computer(s) for the purpose of returning the fixed I.P. Provider Aggregable-PA addresses to [***], if assigned by it.
Clause 5
(Client’s Obligations)
1. Notwithstanding other contractual obligations, the Client undertakes to:
a) Not to use the Service for purposes contrary to the law, not to disclose information likely to harm the moral integrity or any other rights or interests of third parties, or not to convey information likely to be qualified as the commission and/or incitement to the commission of illegal acts or offensive to good practice, as well as any information whose disclosure could or should, for any reason, be considered illegal.
b) Make timely payment of the price of the Services rendered, as provided for in this Agreement.
c) Inform [***] of any changes that would prevent good communication between the Parties.
d) Obtain all authorizations and/or legalizations from and pay any amounts due (of any nature) to the competent authorities regarding the recording of calls and the use of on hold music and other vocal guides, including copyrights and related rights, and the Client undertakes to comply with all legislation in force regarding such matters, if applicable.
2. The Client shall hire [***]'s voice service using geographic numbering to access it through the implementation of a technical solution involving the delivery of voice traffic to the Client's access at a single point of its private data communication network (centralized traffic delivery), thus [***] does not ensure the delivery of traffic at the physical location to which the geographic numbering is assigned, and therefore the following shall be deemed as obligations of the Client:
a) The Client undertakes to use the geographical numbering (2x) assigned by [***] for the purpose of providing the Service, at the place indicated as the access address when the numbering is assigned.
b) The Client states that it is aware of the legal and regulatory conditions associated with the use of geographical numbering, particularly with regard to the elements used in the "2x" numbering range of the National Numbering Plan, which aim to identify geographical areas. The Client undertakes not to subvert the principles underlying the use of geographic numbering, thus ensuring that calls made or received in a geographic number are restricted to the physical location to which the numbering is assigned.
c) [***] hereby warns the Client that failure to comply with the obligations set forth in sub-paragraphs a) and b) of paragraph 2 of this Clause may result in the non-location or deficient location of the origin of calls made to organizations with legal authority to receive emergency calls, which shall prejudice the possible response of these organizations to such calls.
d) The Client acknowledges and agrees to be liable to [***] or a third party for the payment of compensation of an amount equivalent to the penalty, fine or fine per day of delay imposed on [***] in the context of a misdemeanor process initiated by a public entity with powers to supervise the electronic communications sector and also for all losses that [***] or third parties may incur, judicially or extra-judicially, due to non-compliance with the contractual obligations set forth in the preceding sub-paragraphs.
Clause 6
(Liability)
1. Under this Agreement, [***] may only be held liable for damages or losses that are directly attributable to it by way of intentional fault and serious misconduct, and shall not be liable, in particular, for damages caused by the fault of the Client or of a third party, or for loss of revenues or profits or any extraordinary, indirect or incidental losses resulting from or related to this Agreement suffered by the Client or a third party.
2. The Client expressly acknowledges and accepts that [***] shall not be liable for the content of the information or any data made available or received through the Internet.
3. [***] shall not be held liable for any damages or losses that the Client or third parties may suffer, in particular in the security of the systems, networks and/or computer resources it uses, due to information or any data made available or received through the Internet, of illegal attacks of Denial of Service intrusion or congestion of the computer system and/or network, regardless of the technology used by the Client, as well as due to errors ("bugs") in the Client's computer systems and/or the need to install developments ("up-grades") in the computer systems it uses.
4. [***] shall not be held liable for the non-compliance or poor compliance with the obligations undertaken by it, when and only to the exact extent that this results from the occurrence of a situation of an extraordinary or unpredictable nature beyond [***]’s will and which cannot be controlled by it, such as war (whether declared or not), turmoil, civil insurrection, natural disasters, general strikes of national scope, fires, floods, explosions, governmental decisions or other situations not controlled by [***] that prevent or impair the compliance with the obligations undertaken under this Agreement.
5. [***] shall not be held liable for any type of damages resulting from the illicit use, by a Client’s employee or by a third party, of the Client's network or IT resources in attacks on the Client's own networks or those of third parties, in particular through the illicit exploitation of intrinsic vulnerability of Wireless Lan technologies.
6. The right to receive the amounts provided for in Clause 7 is without prejudice to [***]'s right to be compensated for the damages caused.
Clause 7
(Prices)
1. For consideration of the Services subject to this Agreement and the equipment assigned or sold, the Client shall pay [***] the amounts listed in Annex III (Prices) to this Agreement.
2. VAT shall be added to all prices provided for in this Agreement and its Annexes at the rate in force.
3. The prices of the services set out in Annex III shall be subject to change, which shall be communicated to the Client at least one (1) month before the respective entry into force, at which time they shall be included in an Appendix to Annex III.
4. In the event that the Parties, through the Appendix, modify the configuration originally contracted and described in Annex I, in terms of access, services and facilities, the prices in force shall, unless otherwise stipulated by the Parties, be those in Annex III (Prices), when applicable to the configuration change.
Clause 8
(Invoicing)
1. Notwithstanding the provisions of the following paragraph, [***] shall send on a monthly basis to the Client the invoices corresponding to the price of the Services contracted under the terms of this Agreement, plus VAT at the legal rate in force.
2. The Client may state, through a written communication addressed to [***], to the place indicated in paragraph 1, sub-paragraph a) of Clause 16, other place(s), for the purpose of sending invoices related to the contracted Services, which shall form an integral part of this Agreement.
Clause 9
(Payments and Default)
1. The Client undertakes to pay [***] the total amount of invoices issued under the terms of the preceding Clause within the period indicated therein or by the last business day of the month following the issue of the invoice.
2. Notwithstanding the following paragraph, all payments under this Agreement shall be made by bank debit or by check.
3. [***] may, whenever it deems convenient, state in writing a different form of payment from that indicated in the preceding paragraph.
4. In case of late payment of any amounts due by the Client to [***] under this Agreement, [***] may charge on such amounts, and for the duration of the default, interest at the maximum legal rate.
5. Default interest shall be paid by the Client in the manner and under the terms set out in Clause 8.
Clause 10
(Reduction of Services)
1. Notwithstanding the provisions of the following paragraph, should the Client request from [***] a reduction of the Services contracted under this Agreement which represents a reduction of more than 25% of the Monthly Subscription amount as set out in Annex III to this Agreement, [***] reserves the right to unilaterally alter the amount of the said monthly fee in accordance with the price list in force or, alternatively, to continue to charge 75% of the Monthly Subscription amount as set out in Annex III.
2. Whenever the reduction of the Contracted Services, requested by the Client, relates to assigned equipment, the Client undertakes to pay the amount corresponding to the sum of the monthly fees due, related to the assignment of the equipment associated with the Service, until the end of the current contractual period.
